VIBRANT KIDZ

AFFILIATE CONTRACT

Affiliate Program Agreement: Sourcelight Productions • Vibrant Kidz

This Agreement governs participation in the affiliate program for Vibrant Kidz: Sacred Playtime ("Vibrant Affiliates"). By checking “I have read & accept the Affiliate Contract” in the program application and submitting it, you agree to this Agreement and the Commission Schedule linked in section 5. Participation starts when we approve your application.

1. WHO THIS AGREEMENT IS WITH

This Agreement is between Sourcelight Productions Inc., a corporation operating under the brand Vibrant Kidz (we, us or our), and the individual or legal entity identified in your affiliate application (you). We refer to the corporation as Sourcelight Productions in this Agreement. Sourcelight Productions Inc. is the contracting party. GoAffPro provides affiliate tracking software and is not a party to this Agreement.

You must be at least 19 and legally able to enter this Agreement where you live. If applying for an entity, you confirm that you may bind it. Keep your contact, promotional-channel, tax and payout information accurate and current. Program communications and notices to us go to vibrantaffiliates@gmail.com; notices to you go to your account email. You consent to electronic communications and may keep a copy of these terms.

2. WHERE AND HOW YOU MAY PROMOTE

This affiliate program applies only to Vibrant Kidz: Sacred Playtime (the Product). You may promote the Product using your assigned affiliate links on any platform you choose, including social media, websites, blogs, email and other channels. No prior platform approval is required. All promotion must comply with this Agreement, applicable law and the platform’s rules, including any consent requirements for email or direct messages. You control your own work and costs; there is no minimum posting requirement or exclusivity.

Your promotional posts and public accounts or pages used for this program must be family-friendly. They must not publish or promote sexually explicit material, graphic violence, hate, discriminatory harassment, illegal activities or dangerous behaviour likely to harm children. We assess suitability reasonably based on the content and its association with our brand. Third-party comments are not automatically your breach, but you must reasonably moderate prohibited comments within your control when requested.

Comply with applicable laws and platform rules, including advertising, privacy, electronic marketing, intellectual property and child protection requirements. Obtain necessary rights and permissions for material and people you feature, including appropriate parent or guardian permission for children. Do not make misleading claims, false testimonials or unsupported health, developmental, educational or therapeutic claims. Do not imply that you can speak for us or that we endorse your unrelated activities.

You must disclose your affiliate relationship whenever and however required by applicable advertising law or platform rules. We impose no additional blanket disclosure requirement on unrelated posts. Where disclosure is required, it must be clear, prominent and placed with the promotion in a format your audience can understand. For example: “I earn a commission if you purchase through this link.” A profile-only disclosure, hidden caption or affiliate link alone may not satisfy those requirements. Participation does not waive any legal disclosure obligation.

Do not use spam, fake orders, bots, cookie stuffing, forced clicks, deceptive redirects, malware or attribution manipulation. Do not impersonate us or use confusing brand domains or usernames. You may use paid promotion on your chosen platforms subject to this Agreement. Brand keyword bidding, coupon-directory distribution and affiliate-funded rebates or incentives require prior written approval. Use approved discount codes only as directed.

3. YOUR PERMISSION TO USE OUR PROMOTIONAL CONTENT

We own the videos, images, audio, text, logos and other resources we supply for affiliate promotion (Promotional Resources).

While you participate, we give you a limited, non-exclusive, royalty-free, worldwide licence to download, edit, adapt and publicly post Promotional Resources solely to promote the Product through this program. You may crop, resize, trim, combine clips, add captions, translate text, overlay yourself, and add voiceovers. Respect any asset-specific restrictions disclosed before download. Do not misrepresent the product, alter logos misleadingly, remove required attribution or disclosures, or imply false endorsements. Only add material you have rights to use commercially.

You may not sell, gift, lend, privately share, sublicense or distribute the downloadable files or source materials, or place them in shared asset libraries. Public promotional posting and ordinary viewer sharing of that published post are allowed. You may not use the resources for unrelated products, standalone content distribution, model training or other purposes outside the program without written permission.

Ordinary platform hosting and distribution rights necessary to publish authorized promotions are permitted. Platform choice does not authorize unrelated exploitation of our resources. If a platform requires materially broader rights, obtain our written permission for those rights before uploading the resources. Obtain written approval before giving an editor access to source files. Approved editors must follow equivalent restrictions, and you remain responsible for them. Protect download access and promptly report unauthorized sharing.

Your original additions remain yours; our underlying material remains ours. Owning an adaptation does not extend your permission to use our material after termination. We need separate permission to reuse your original content, image or voice.

4. TRACKING AND ELIGIBLE SALES

We use a 90-day referral cookie. The last eligible affiliate link clicked before an order, within its unexpired 90-day window, receives attribution. A later eligible affiliate click replaces earlier attribution. Cookies may be blocked, deleted or unavailable across devices. GoAffPro records are the initial reporting basis, but reliable order and referral evidence may establish a correction. Report suspected errors promptly; we will reasonably investigate and correct substantiated errors.

An eligible sale is a genuine, paid order for the Product, placed while you are an active affiliate and attributed to you under these rules, with the product delivered or made accessible to the customer. We do not pay for clicks or impressions, self-purchases, orders you place for someone else, fraud, duplicate or unpaid orders, cancelled orders, refunded amounts, chargebacks or sales generated through prohibited promotion. Genuine independent purchases by friends or relatives are not excluded merely because of that relationship.

Unless we expressly approve otherwise, coupon codes alone do not override last-click attribution. Orders placed after termination do not earn commission even if the referral cookie was created earlier. Purchases of other products do not qualify for this program. We handle customer orders, delivery, refunds and customer service; you cannot collect payments for us or promise unapproved terms.

5. COMMISSION RATES AND ADJUSTMENTS

Commission rates are 20%–40% under Commission Schedule version 1.0, November 2026, published at https://www.vibrant-kidz.com/affiliate-commission. The payment rules in this section form part of that Schedule for this Agreement. Earnings projections and conversion estimates on the webpage are illustrations, not guaranteed results or payment promises. The identified Schedule applies until changed under section 8; a webpage edit alone does not change your agreed terms.

Monthly boosts apply marginally: sales 1–20 in a calendar month earn 20%; sales 21–40 earn 25%; sales 41–60 earn 30%; sales 61–80 earn 35%; and sale 81 onward earns 40%. A higher monthly tier does not reprice earlier sales. Monthly sales counts reset at the start of each calendar month in the Pacific time zone (Vancouver, BC, Canada).

Your starting lifetime base rate is 20%. After 500 cumulative eligible sales it becomes 25%; after 1,000 it becomes 30%; after 2,000 it becomes 35%; and after 3,000 it becomes 40%. The increased base applies to subsequent sales. For each sale, use the higher of your lifetime base rate and the monthly rate, rather than adding the two. The lifetime base does not reset monthly. These rate entitlements remain subject to prospective changes under section 8.

You also earn a US$70 bonus for each completed block of 100 cumulative eligible sales, regardless of how many months they span. Each block earns one bonus, in addition to percentage commissions. Only eligible sales count toward monthly tiers, lifetime thresholds and bonuses. Cancelled, fully refunded, fraudulent or charged-back sales do not count; partial refunds reduce commission proportionately but do not remove a sale unless the whole order becomes ineligible. We will explain any resulting recalculation of tiers or bonuses. Bonuses are payable with the next monthly payment after the qualifying sales pass the hold and verification requirements, including after termination if earned on pre-termination orders.

Unless the Schedule expressly states another calculation base, commission is calculated on the eligible product price actually received after discounts, excluding sales taxes, shipping and refunded amounts. Ordinary merchant payment-processing costs are not deducted from that base. The rate is determined by the Schedule applicable when the order is placed, including any expressly stated end-of-period calculations.

We will provide reporting explaining commissions and adjustments. Documented refunds, chargebacks, fraud and calculation errors may reduce or reverse commissions, including after payment; partial refunds reduce commission proportionately. We may offset documented overpayments against future commissions, explaining the adjustment, or request repayment of the actual overpayment. An unrelated breach or termination does not itself forfeit legitimately earned commissions.

6. PAYMENTS

Commissions have a 14-calendar-day hold from the date the customer places the order, supported by the order record reflected in GoAffPro. A tracking delay does not restart the hold. Payment eligibility requires the hold to have fully expired and the sale to have been verified. Refunds and other legitimate adjustments may still occur later.

We initiate payment of your verified eligible unpaid balance on the 28th of each month, with no minimum payout threshold. The cutoff is 11:59 p.m. on the 27th in the Pacific/Vancouver time zone. Amounts not yet eligible roll forward to the next monthly payout. If the 28th is not a BC business day, payment is initiated on the next BC business day. Provider processing may take additional time.

USD through PayPal automatic payment is the default where supported. You may request CAD by manual e-transfer, subject to a supported Canadian receiving account and our confirmation. Your confirmed preference is recorded in your account. Before converting a commission balance into a different payout currency, we will disclose and agree with you the rate method, provider and conversion fees; no undisclosed markup applies.

Provide valid receiving details and legally required tax information or invoices. We bear sending fees; your provider may charge receiving or conversion fees. Each party is responsible for taxes legally imposed on it. We may make legally required withholding and provide required records. Provider restrictions, failed payments or legal restrictions may delay the affected amount; we will explain the issue and arrange a lawful alternative where possible. Unpaid balances are not forfeited merely because payment fails or a provider minimum applies.

We may temporarily hold amounts reasonably affected by a documented dispute, suspected fraud or unresolved adjustment. We will explain the reason, request necessary information, review the hold at least every 30 days and pay unaffected amounts on schedule.

7. ENDING PARTICIPATION AND REMOVING CONTENT

You may leave at any time by email. We may end participation without alleging a breach on 14 calendar days’ written notice. For a minor, remediable breach, we will identify the issue and allow seven calendar days to correct it, or longer if stated. If it remains uncorrected, we may terminate by notice. We will not use ordinary termination merely to avoid that correction opportunity.

We may terminate immediately by written notice for a serious breach, including fraud, deliberate tracking manipulation, unauthorized distribution or sale of resources, child exploitation, unlawful or materially harmful promotion, or repeated material breaches after warning. We may suspend affected links or access while reasonably investigating a credible serious concern, explaining the basis and reviewing the suspension.

On termination, stop creating promotions and soliciting new sales as our affiliate. Within five BC business days, remove or disable active affiliate links, supplied Promotional Resources, adaptations containing them and misleading indications of an ongoing relationship on channels you control, and delete downloaded copies. Serious violations and specifically identified unlawful or harmful content require immediate removal. Permission during the ordinary removal period is solely to complete removal, not to continue promotion or earn commissions.

For material outside your control, take reasonable steps to request removal. You may retain one secure copy only if needed for legal or accounting records, without promotional use. Independently created commentary containing no licensed resources, affiliate links or misleading affiliation need not be removed. Nothing restricts lawful criticism or rights that cannot be waived.

Legitimate commissions on eligible orders placed before termination remain payable after verification, hold expiry and valid adjustments, on the next eligible monthly payout. Termination does not permit indefinite withholding.

8. CHANGES TO PROGRAM OR AGREEMENT

We may change this Agreement or the Commission Schedule prospectively. We will email at least 14 calendar days’ advance notice of material changes, with the revised terms and effective date. This includes changes to rates, calculations, attribution, payments and substantial content restrictions. Changes will not retrospectively reduce legitimate commissions already earned or express entitlements to adjustments under the prior Schedule.

An immediate change may be made only to the extent necessary for legal compliance or a genuine security or fraud risk, with an explanation and notice as soon as practicable. This exception does not cover ordinary commercial commission reductions. You may leave before a change takes effect. Continued active participation after the effective date constitutes acceptance only where legally permitted; we will obtain renewed express consent where required. If necessary consent is declined, we may end participation under section 7 and pay prior legitimate commissions.

9. RESPONSIBILITY, PRIVACY, AND CONFIDENTIALITY

You participate as an independent contractor without authority to bind us. Mandatory legal classifications still apply. We do not guarantee sales, earnings or uninterrupted technology. We may reasonably review public promotional channels and request relevant compliance evidence. We process personal information under applicable law and our Privacy Policy at https://www.vibrant-kidz.com/privacy-policy, made available during enrollment. This Agreement does not authorize unlimited visitor monitoring or disclosure. Do not send unnecessary customer or child personal information.

Keep non-public program information confidential and use it only for participation. This excludes information lawfully known, independently developed, publicly available without breach or lawfully received without restriction. Disclosure to professional advisers under confidentiality duties or as legally required is allowed. Resources authorized for public posting are not confidential in their published form; source-file restrictions remain.

You will indemnify us for third-party claims and reasonable costs to the extent caused by your unlawful promotion, infringement through material you add, material breach, negligence or intentional misconduct. This excludes our own fault and authorized use of unmodified resources we supplied. We will notify you promptly, allow reasonable participation in the defence and mitigate loss. A settlement imposing an admission or non-monetary obligation on you requires your reasonable consent.

To the extent lawful, neither party is liable to the other for indirect or consequential loss, including speculative lost profits. Our aggregate liability is limited to commissions paid or payable to you in the 12 months preceding the event giving rise to the claim. These limitations do not restrict payment of legitimate commissions, liability for fraud or wilful misconduct, or liabilities and statutory rights that cannot lawfully be limited.

Technical failures: our website, affiliate links, GoAffPro tracking, reporting and payment services may experience outages, maintenance, errors, delays, cyber incidents or data loss. We do not guarantee that these services will always be available, accurate, error-free or secure. To the extent permitted by law and subject to the exceptions below, we are not liable for hypothetical lost sales or anticipated commissions, or for your advertising expenses or other promotional investments lost or incurred because of those technical failures. This applies to failures of our systems and third-party services used for the program.

This provision does not cancel legitimately earned commissions or bonuses, excuse payment merely because a tracking or payment system fails, or override our obligation to reasonably investigate reported tracking errors and correct substantiated errors. Reliable order and referral evidence may establish an eligible sale even when automated tracking fails. We will take reasonable steps to address technical problems within our control and resume affected program functions. Any remaining liability is subject to the limitations in this section. Nothing in this provision excludes liability for fraud or wilful misconduct, limits liability that cannot lawfully be excluded, or removes mandatory privacy or security obligations.

10. GOVERNING LAW AND GENERAL TERMS

This Agreement applies to approved affiliates worldwide and is governed by British Columbia law and applicable federal Canadian law. Mandatory laws and rights applicable to your activities or audience remain effective. Subject to those mandatory requirements, BC courts have exclusive jurisdiction. Either party may seek urgent interim or intellectual property relief in another competent court. First attempt to resolve disputes by written notice and good-faith discussion for 30 days, without delaying urgent relief or a legal limitation period.

Email notices take effect when delivered to the designated email system and capable of retrieval; known failed delivery is not effective. Calendar-day notice periods run from receipt. BC business days exclude weekends and BC statutory holidays.

We may transfer this Agreement to a successor in connection with a merger, reorganization or sale of the business if the successor assumes our obligations, including accrued commissions, and any legally required consent is obtained. We will notify you of the successor’s full legal name and contact details. You may not transfer your account or this Agreement without our written consent.

The website Terms of Service govern ordinary website use, and the Safety & Liability Waiver governs participation in the Product’s activities. For affiliate participation, this Agreement controls any conflict with those documents, including promotional permissions, ownership of your original material, commissions and bonuses, termination, notice, and responsibility for technical failures. The Privacy Policy describes our handling of personal information; this Agreement does not reduce any rights or duties under applicable privacy law.

This Agreement and the applicable Commission Schedule are the entire agreement for participation. This Agreement controls conflicts, except expressly delegated tier and rate calculations are controlled by the Schedule. Additional guidelines bind you only if clearly provided for acceptance; material changes follow section 8. An unenforceable provision does not invalidate the remainder where legally possible. Failure to enforce a term is not a waiver. Both parties will act honestly and exercise contractual discretion reasonably for its stated purpose. Accrued payment rights, adjustments, intellectual property restrictions, confidentiality, liability and dispute provisions survive termination.
